Terms of Service

These Terms of Service are a contract between you and BidDown LLC ("BidDown," "we," "us"), an Indiana company. By creating an account or using BidDown, you agree to these terms.
What BidDown is
BidDown is a marketplace that lets buyers post "want listings" with a maximum price, and lets sellers bid that price down to win the sale. BidDown facilitates the listing and bidding mechanic. We are not a party to the underlying sale, and don't guarantee any transaction between a buyer and seller.
Accounts
You must provide accurate information and are responsible for activity on your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to use BidDown.
Intellectual property
BidDown owns the platform itself, its design, code, and branding. Using BidDown gives you a limited, personal license to access and use it. It doesn't give you the right to copy, resell, scrape, reverse-engineer, or build a competing product from it. You keep ownership of the photos, descriptions, and messages you post (see "Your content" below).
Feedback
If you send us feedback or suggestions about BidDown, you're giving us permission to use that feedback however we want, without owing you anything or crediting you for it. Don't send us feedback you consider confidential.
Coins
Coins are BidDown's flat-rate action currency used to post listings and place bids. Coins have no cash value, aren't redeemable for cash, and can't be transferred between accounts. Coins purchased with real money are generally non-refundable except where required by law. If your account is closed or terminated for violating these terms, any unused coins are forfeited.
Membership subscriptions
Paid membership tiers are billed through Stripe and renew automatically each billing period at the then-current price (except for a price-locked tier like First Edition, which keeps its locked price for as long as the subscription stays active) until cancelled. You can cancel anytime from your profile page; cancellation takes effect at the end of the current billing period, you keep your benefits until then, and we don't provide partial-period refunds except where required by law.
Referral and affiliate program
If you participate in BidDown's referral or affiliate program, commissions are earned and paid according to the terms presented on the Affiliate page at the time you enroll. BidDown may withhold or claw back a commission tied to a referral that is refunded, charged back, or found to be fraudulent, and may modify or end the program at any time on a going-forward basis. You're responsible for any taxes owed on commissions you receive.
Conduct
You agree not to post fraudulent listings or bids, misrepresent items, infringe anyone else's intellectual property, scrape or misuse the platform, circumvent the coin/fee system, or use BidDown for any unlawful purpose. We may suspend or terminate accounts that violate these terms.
Your content
You keep ownership of the photos, descriptions, and messages you post, but you grant BidDown a license to host, display, reproduce, and resize/format that content as needed to operate the platform (for example, showing your listing photos and generating link-preview images). You're responsible for making sure you have the rights to what you post.
Transactions between users
BidDown facilitates the listing and bidding mechanic only. We're not a party to the underlying item sale, never take possession of the funds or the item, and don't process payment for it or handle shipping. Payment and shipping happen directly between buyer and seller once a bid is accepted. Use good judgment; BidDown is not responsible for the condition, authenticity, or delivery of items exchanged between users, or for either side following through on the deal.
Reports and disputes
BidDown provides tools to report listings, bids, and users. We review reports and may take action (including warnings, listing removal, or account suspension) at our discretion, but we don't guarantee any particular outcome or resolve disputes between users as a neutral arbiter.
Copyright
If you believe content on BidDown infringes your copyright, contact support@biddown.app with a description of the work, the infringing material's location, and your contact information, and we'll investigate.
Termination
We may suspend or terminate your account for violating these terms. If your account is terminated for cause, any unused coins are forfeited and open listings or bids may be cancelled; you remain responsible for any amounts owed to BidDown as of termination.
Disclaimers and limitation of liability
BidDown is provided "as is" without warranties of any kind. To the maximum extent permitted by law, BidDown's total liability to you for any claim arising from your use of the platform is limited to the greater of $100 or the amount you paid BidDown in the 12 months before the claim, and BidDown is not liable for indirect, incidental, or consequential damages.
Indemnification
You agree to indemnify and hold BidDown harmless from any claim or dispute arising from your use of the platform, your content, your transactions with other users, or your violation of these terms.
Governing law
These terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles. For anything not covered by the arbitration agreement below, you and BidDown consent to the exclusive jurisdiction of the state and federal courts in Huntington County, Indiana.
Dispute resolution and arbitration
Before filing a claim, you agree to try to resolve the dispute informally first, by contacting support@biddown.app or writing to BidDown LLC, 44 E Park Dr. Suite E, Huntington, IN 46750. Give it 60 days. Any dispute that isn't resolved informally will be decided through binding individual arbitration administered by JAMS (jamsadr.com), conducted in the county where you live, rather than in court, except that either side may bring an individual claim in small claims court or seek a court injunction to protect intellectual property. You and BidDown each waive the right to a jury trial and to bring or join a class, representative, or collective action; claims can only be brought individually. Each side generally covers its own attorneys' fees unless the arbitrator finds a claim was frivolous.
Arbitration opt-out
You can opt out of the arbitration agreement above within 30 days of first agreeing to these terms by writing to BidDown LLC, 44 E Park Dr. Suite E, Huntington, IN 46750, or support@biddown.app, with your name, address, and a clear statement that you're opting out. Opting out doesn't affect the rest of these terms.
Accessibility
We aim for BidDown to be usable by everyone, including people with disabilities, and target WCAG 2.1 Level AA as a guide. If you run into an accessibility barrier, let us know at support@biddown.app and we'll do our reasonable best to fix it.
California residents
You may report complaints to the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 N. Market Blvd. Suite N112, Sacramento, CA 95834, or (800) 952-5210. BidDown LLC's address is 44 E Park Dr. Suite E, Huntington, IN 46750.
General
If any part of these terms is found unenforceable, the rest remains in effect. BidDown isn't responsible for delays or failures caused by events outside our reasonable control. You may not assign these terms; BidDown may assign them in connection with a merger, acquisition, or sale of assets. These terms are the entire agreement between you and BidDown regarding your use of the platform.
Changes to these terms
We may update these terms as the product evolves. Continued use of BidDown after a change means you accept the updated terms.
